Terms and Conditions
Carolyn Clarke web services provides web design, web development, site promotion and other related services to client organisations and individuals. Services provided to a client may collectively form a project delivered in one or more stages.
The acceptance of a commission shall be deemed as a contractual agreement between the client and Carolyn Clarke web services (CCWS).
- CCWS cannot always guarantee to start work immediately on a commission, but will agree a date with the client when work will commence.
- All material, both text and images, supplied by the client and used in the construction of the client's web site, will remain the client's property. All such material will be assumed by CCWS to be the property of the client and thus free to use by CCWS without fear of breach of copyright laws.
- The copyright for all material provided by CCWS, such as HTML code, graphics, photographs and text, will remain the property of CCWS until such time as payment has been made in full, whereupon they will become the property of the client.
- CCWS makes every effort to design pages which display acceptably in the most popular current browsers, but cannot accept responsibility for pages which do not display acceptably in new versions of browsers released after pages have been designed.
- CCWS will submit a client's website, as part of the design commission, to those major search engines that allow free submission. If a client wishes CCWS to promote a website as a separate commission, CCWS will make every effort to promote the website effectively, but cannot guarantee high rankings in search engine results. CCWS can accept no responsibility or liability if any search engine, online directory or search site, submitted to as part of a web site promotion commission, chooses not to list a client's web site.
- A payment of 25% of the total fee is required when ordering services, with 50% due on initial delivery of the website, and the final 25% required at completion. Where site maintenance or re-registration is required, payment of fees is required before the maintenance work or re-registration is carried out. A reminder will be sent for yearly maintenance charges and re-registration fees. All other services require pre-payment in full unless agreed otherwise in writing prior to commencement of work.
- CCWS will initially place the client's website on one of its own demonstration sites during the design process so that the client may view and comment upon the website's progress. When both CCWS and the client agree that the website meets the criteria agreed during the commissioning process, CCWS will invoice the client 50% of the full amount due for the commission. On receipt of payment, CCWS will publish the website on the client's server, or provide the source code for the site via a download (or cd-rom disk) for the client to upload. When the website is accepted as fully working on the client's server, CCWS will invoice the client the remaining amount due for the commission.
- CCWS reserves the right to deactivate a client web site where relevant payment has not been received and to charge interest on late payments.
- CCWS expects payment by cheque, BACS or cash within 28 days of the date on the invoice.
- If at any point during the website development a client wishes to cancel, they may do so, but will be invoiced an amount that CCWS judges to be proportional to the amount of work completed on the commission.
- If, during the website development, the client does not supply the content required in order to complete the commission within a reasonable amount of time, CCWS will consider that the client wishes to cancel the commission and will invoice an amount that CCWS judges to be proportional to the amount of work completed on the commission.
- CCWS will not disclose to third parties any confidential data, information or trade secret made known to us by a client, other than with their consent. Other than in the normal agreed provision of our services, involving the publication of web sites and search engine submission and site promotion, CCWS will not supply a client's organisational or personal contact details to third parties for marketing purposes without consent of the client. Any username or password issued to CCWS is considered confidential information and will not be divulged to any another person. If CCWS issues a username or password to the client, the client must take all reasonable precautions to protect this information from discovery.
- CCWS does not undertake to maintain or update a client's website as part of the design commission. If a client wishes CCWS to maintain or update a web site as a separate commission, CCWS will negotiate with the client a maintenance contract appropriate to the amount of work required. Website maintenance may also be undertaken on a time and materials basis if the client so wishes.
- CCWS reserves the right to alter prices at any time without notice. If a client has commissioned any services from CCWS prior to a change in prices, that commission will not be subject to any increase, but any subsequent commission may be subject to an increase.
- CCWS will not be held liable for any loss or damage caused by use, misuse, lack of availability, interruption or removal of services or any error or omission. As part of some services, CCWS makes marketing information and guidance notes available to clients. CCWS will not be held liable for any loss or damage experienced by clients in the application or use of the information made available.
- It is the responsibility of the client to be familiar with the relevant data protection and privacy laws and recognises that CCWS has no control or influence over e-mail content processed by the ISP service. The client shall hold CCWS harmless from and indemnify the CCWS against any claims by any party relating thereto.
- Clients should satisfy themselves that their site does not contravene UK or other relevant laws. Clients are held liable for any claims, suits, damages or any other disputes or actions which arise in connection with their web site. Clients must ensure the accuracy, truthfulness, appropriateness and decency of the content of their web site.
- By agreeing to these terms and conditions your statutory rights are not affected. CCWS reserves the right to change or modify any of these Terms and Conditions.
